Our team is proud to have been involved in some of the most significant LNG transactions in the past decade which have helped the US to transform from a gas importer into a global gas leader, thus providing energy security for Americans and minimizing the risk of global energy supply shocks. We regularly represent LNG offtakers on various SPAs, Liquefaction Tolling Agreements, Terminal Service Agreements, Terminal Use Agreements, LNG Buy-Sell DES FOB, LNG by Truck transactions and LNG traders on international netback pricing transactions, among other transactions. We also help* LNG project developers raise equity and structure projects and from time to time provide “on the ground” guidance on Panama Canal energy transportation matters.

Gabe Procaccini
Mr. Procaccini is the founder of USNERGY and a leading lawyer in transactions involving upstream, midstream and downstream assets, energy marketing matters, LNG, energy infrastructure project development, M&A and joint ventures. In 2023 and 2022, Mr. Procaccini was recognized by the The Legal 500 for his Latin America Projects and Energy work and in 2020 and 2019 by the IFLR1000 for his Project Development, M&A and Project Finance work in Energy, Oil and Gas.
Over his 20-year career, Mr. Procaccini has led transactions relating to the purchase, sale and development of key energy assets, including throughout the LNG and LPG value chain, through a wide range of commercial arrangements and has closed more than $125 billion in transactions.
Mr. Procaccini counsels a diverse range of clients in the negotiation, structuring and execution of documentation for complex transactions involving large energy companies, independent oil and gas producers, MLPs, G&Ps and other pipeline companies, LNG project developers, LNG buyers, energy traders and large industrial energy users across the global energy value chain.
For the past 16 years, Mr. Procaccini practiced law at the law firm of Akin Gump and was a partner at the firm from 2013 to 2023.
Mr. Procaccini holds a JD from the University of Chicago and an MBA and BBA from Loyola College in Maryland, and is licensed to practice law in Texas and Florida.
James Spencer
Mr. Spencer is a senior corporate attorney with a diverse background and broad experience representing domestic and international companies in project development, oil & gas ventures, LNG import, export, and bunkering projects, procurement, commercial transactions, mergers and acquisitions, regulatory compliance, and litigation management. His distinguished legal career includes serving as Associate General Counsel of NextDecade LNG Corporation, Director of Legal Affairs for Pilot LNG LLC, and General Counsel for LandPro Corporation. He also previously practiced at the law firms of Akin Gump and Morgan, Lewis & Bockius.
Before becoming a lawyer, Mr. Spencer was a chemical engineer in both industry and government. He has worked in all three branches of government including for a federal district judge, Texas Speaker of the House of Representatives Tom Craddick, the Environmental Protection Agency (EPA), and the Federal Energy Regulatory Commission (FERC).
Mr. Spencer holds a B.S. in chemical engineering from Texas A&M University and a J.D. from The University of Texas School of Law. He is licensed to practice law in Texas and New York.
Guy Dayvault
Mr. Dayvault is a commercial consultant in LNG marketing and natural gas with more than 30 years of experience. He previously led the LNG Commercial Development team for Gazprom Marketing & Trading USA and had various commercial and financial modeling roles at Marathon, Enron, and Glencore. He began his career with ten years at Chevron.
Mr. Dayvault has represented and advised clients on natural gas and LNG deals, representing both LNG sellers and LNG buyers with respect to both (1) existing LNG export facilities such as Qatargas and Bontang (Indonesia) and (2) proposed new LNG export facilities such as Alaska LNG, Jordan Cove LNG, Lake Charles LNG, and Texas LNG. He has designed LNG sales campaigns, initial and follow-up sales calls with over more than fifty prospective LNG buyers and has drafted the commercial sections of both definitive agreements such as LNG Sale and Purchase Agreements (SPAs) and preliminary nonbinding commercial agreements (including Letters of Intent (LOI), Memorandums of Understanding (MOU), Heads of Agreement (HOA), and Heads of Terms (HOT)).
From time to time he also serves as an owner’s commercial representative during construction of major natural gas infrastructure such as a several hundred mile long 48”-diameter high pressure natural gas pipeline. He has also provided expert commercial reviews for lenders and equity-investors with respect to lending or investing into new construction LNG facilities, and has represented various parties as an expert witness in LNG and natural gas related disputes.
Mr. Dayvault holds a BS in Mechanical Engineering from Rice University, an MS in Petroleum Engineering from the University of Southern California, and the Chartered Financial Analyst (CFA) certification.

Dr. Raj Agnihotri
Dr. Raj Agnihotri is a business Leader and management consultant with more than 40 years of business and operational experience including 15+ years in the C-suite. He has deep subject matter expertise in downstream, chemicals, LNG and gas processing, midstream, and energy transition industries. He advises clients with a focus on:
- Driving profitability and safety, cost reduction and performance improvements with commitment to quality, ESG and risk management.
- Driving Digital Transformation for both energy security from profitable hydrocarbon operations and the energy transition
- Driving tangible Decarbonization, and Sustainable client value outcomes.
Dr. Agnihotri has advised and consulted on cost reduction, operational efficiency and performance improvements, asset utilization, and digital transformation for clients globally in oil & gas, chemicals, LNG, gas processing and midstream. He has worked with clients on renewable fuels, green hydrogen and Li battery manufacturing. He has expertise in Capital Projects development and execution (representing owner’s side), and in Operations and Maintenance.
He began his career with nine years at Texaco/Chevron in refineries, chemicals plants, and capital projects. As SVP & CIO at Reliance, he built and operated the world’s largest refinery at Jamnagar, and improved performance at their petrochemical sites. As General Manager of Yokogawa Americas, Raj managed their P&L, projects and operations to increase margins 100+%, revenues 200%, and backlog 400%. As an Executive Management Consultant at IBM (ex PWC Consulting bought by IBM) he set up business processes and systems for greenfield sites (Gorgon LNG, Wheatstone LNG, Sasol Chemicals), did capital project development for a US LNG liquefaction project, improved operational performance for refineries (Chevron, Texaco, Reliance, Sinopec), chemical plants (Texaco, Shell, Sipchem in Saudi, SOCAR Petkim, Sasol), LNG (Oman LNG, Qatargas, Golden Pass LNG), and for others such as Ukraine’s Naftogaz, Gaspromneft, Rosneft, and many more.
Dr. Agnihotri holds Chemical Engineering degrees: a PhD from the University of Houston, an MS from the University of California, Berkeley and a BS from the Indian Institute of Technology Kanpur. He has a PMP (Project Management Professional) certification from the Project Management Institute.

Lukas Rhomberg
Mr. Rhomberg is a founding partner at Fleury, Coimbra & Rhomberg in Sao Paulo, Brazil, specializing in corporate/M&A, business and tax law.
Mr. Rhomberg holds an LL.M. from the University of Chicago, Magister Juris from the University of Vienna Law School – Austria and Université Paris 2 Pantheon-Assas – France and Bachelor of Law from the Universidade Estadual Paulista – Brazil (by recognition).
Mr. Rhomberg is fluent in English, Spanish, Portuguese, German and French and is admitted to practice law in the State of New York, England & Wales and São Paulo (Brazil).
